Deal-by-deal model

No blind pool. Each estate is its own vehicle.

We don't raise a blind pool: each estate sits in its own SPV, where LPs subscribe directly. Participation is decided deal by deal, one SPV at a time.

  1. Origination & underwriting

    We source the asset, run legal, technical, environmental and financial due diligence, and structure the SPV terms.

  2. Internal approval

    Our internal committee approves the deal and authorises the SPV to proceed.

  3. Deal memo

    We distribute a deal memo covering thesis, assumptions, risk factors and the management plan.

  4. Syndication

    Each deal is circulated within our recurring LP network, with first-offer/refusal rights (ROFO / ROFR) for repeat LPs.

  5. Subscription & closing

    LPs subscribe SPV interests and fund capital in one or more closings, with equalisation where applicable.

  6. Sponsor commitment

    The firm commits a portion of deal equity (GP commitment) to align interests, project by project.

SPV structure

A members-and-manager structure for real assets.

Series-level structure.
Capital sits in a master Series LLC; each series inside it draws its own grant of economic rights from the fideicomiso that holds title to the land.
Manager, not owner.
Forests VC LLC manages and sponsors the structure; it does not own the master Series LLC or any series beneath it.
Series-level exits.
A series can be sold or refinanced on its own, independent of the others.
Clean reporting.
Separate accounting for the structure, with a dedicated data room for members.

Contract structures

Management agreement
The operator manages; the SPV captures upside and bears operational risk.
Cash rent
Fixed or indexed rent to the SPV; operational risk shifts to the operator.

Production or gross revenue split in agreed proportions.
Blended structure
A fixed rent component plus a variable component above an agreed threshold.
